RoughBid Terms of Use
Operational draft. These terms are not legal advice and are not attorney-approved final terms. Qualified counsel should review them before broad commercial launch, paid production use, or custom enterprise agreements.
1. RoughBid Product
RoughBid is an independent SaaS product for construction estimating, takeoff organization, plan review, project pricing, proposal sharing, and client acceptance workflows. Access, trials, subscriptions, and project credits are controlled only by RoughBid's own plans and customer agreements.
2. Accounts, Organizations, and Project Separation
Each user account is intended to be separate. Each organization workspace is intended to be separate. Each project is intended to be separated by workspace access controls. Organization administrators are responsible for inviting users, removing users, assigning roles, and reviewing who can access organization projects, files, estimates, price lists, proposals, and billing settings.
Users may only access organizations, projects, proposal links, and files that they are authorized to access. Shared devices, forwarded magic links, forwarded proposal links, and shared inboxes can create access risk, so users should handle them carefully.
3. Construction Estimates Are Review Aids
RoughBid outputs are estimating aids. Users remain responsible for verifying project scope, dimensions, quantities, specifications, exclusions, alternates, labor rates, taxes, permits, local code requirements, insurance requirements, profit margin, overhead, and final contract language before relying on any output.
RoughBid does not provide legal, tax, accounting, engineering, architectural, permitting, insurance, or licensed construction advice.
4. AI Plan Reading
AI-assisted plan reading may identify candidate rooms, plan notes, dimensions, assemblies, materials, pricing assumptions, missing information, and review flags. AI output is not guaranteed to be complete or correct. A qualified human must review AI suggestions before they are used in bids, client proposals, contracts, purchase orders, schedules, or permit-related work.
5. Client Proposal Links and Signatures
RoughBid may let a user send a client-facing proposal link that can be opened without creating a RoughBid account. The proposal recipient is responsible for reviewing the proposal, exclusions, assumptions, and acceptance language before signing. Opening or signing a proposal may create access logs, timestamps, and notifications for the RoughBid user or organization that sent it.
Approval needed: final enforceability language for electronic acceptance, signature authority, change orders, cancellation rights, lien notices, consumer notices, and jurisdiction-specific construction contract terms must be reviewed by counsel before commercial use.
6. Payments, Credits, and Usage Limits
RoughBid may offer free trial credits, paid subscriptions, per-project charges, usage-based limits, and separately priced marketplace data such as regional cost tables or price feeds. Trial credits, project credits, plan limits, AI usage limits, and marketplace access may be capped, changed, suspended, or exhausted based on the plan selected and the cost of underlying providers.
Prices, taxes, refunds, renewals, cancellations, and chargeback handling must match the active checkout, invoice, or order form presented at purchase. Do not rely on any marketing or draft pricing page if it conflicts with the checkout or signed order form. The operational Refund and Cancellation Policy explains the current support path.
7. Customer Content
Users retain responsibility for plans, drawings, specifications, photos, estimates, client details, pricing tables, notes, proposal exports, and other content uploaded or entered into RoughBid. Users must have the right to upload, process, share, and export that content through the product.
8. Acceptable Use
Users must follow the RoughBid Acceptable Use Policy. RoughBid may restrict or suspend access for abuse, security risk, unlawful use, non-payment, or activity that threatens the service or another customer.
9. Availability and Beta Features
RoughBid may change as the product matures. Features may be beta, limited, metered, unavailable, or replaced while integrations, AI providers, payment flows, and data sources are configured and validated.
10. Jurisdiction and Dispute Terms
Approval needed: governing law, venue, arbitration, class-action waiver, limitation of liability, indemnity, warranty disclaimer, payment remedies, and construction-specific legal notices must be finalized by qualified counsel. Until approved, this page should be treated as an operational product baseline, not a final commercial contract.
